Mr. Lyle’s responsibilities include

planning and growth as well as management
of the company’s team. Along with
the next>edge management team, Mr. Lyle
was the architect of next>edge’s
unique business design of providing a strategic
and integrated approach to energy efficiency
and power generation solutions for the commercial
real estate industry. |

| Mr. Lyle has been a leading pioneer
in developing value-add opportunities for the real
estate industry. Prior to next>edge, Mr. Lyle
was Vice President of Telecommunications and Technology
Services for Arden Realty, Inc., where he successfully
developed and implemented Arden’s Rooftop
and Carrier Access Program. This was one of the
first and most successful portfolio-wide carrier
access programs in the industry, which was later
converted to a highly profitable master access agreement
with a national carrier access company. As one of
the pioneers of telecommunication applications for
the real estate industry, Mr. Lyle was also responsible
for Arden’s significant broadband initiative
in which high-speed telecommunications facilities
were implemented in over 250 Arden office buildings.
At completion, this was the most substantial implementation
of such technologies in any single real estate portfolio
in the nation, giving Arden a significant competitive
edge in the market as well as an added revenue source.
Prior to his role at Arden, Mr. Lyle’s
broad experience included key executive positions
in the telecommunications, broadcast television
and marketing industries. Mr. Lyle is a member
of the Real Estate Roundtable, participating in
its Technology Task Force, and was a key member
involved in working with the FCC on developing
access standards for the real estate industry.
Mr. Lyle is an Executive Board Member of the Los
Angeles Business Council (LABC) where he is also
Chairman of the Energy and Resources Committee,
comprised of business, environmental, and governmental
leaders focused on the city’s challenging
natural resource issues. Mr. Lyle is recognized
as a leader in the energy efficiency industry
and has been invited to address key government
officials in the City of Los Angeles, the EPA
and the California Energy Commission on issues
relating to the California energy crisis and the
economic benefits of energy efficiency for the
real estate industry.

Llamido |

| Mr.
Llamido is responsible for the development
and implementation of next>edge’s
strategic sales and marketing initiatives
including market expansion, strategic alliance
development, and the launch of new solution
innovations.
Specializing in developing strategic partnerships
and effective business networks, Mr. Llamido
brings experience in project management,
business analysis and profitable implementation
strategies to the next>edge sales team.
His diverse experience in customer service
and sales management was key to the development
and deployment of next>edge’s Sales
Force Automation process.

| Mr. Llamido has a proven
track record of successful team management, training
program development and customer service in numerous
national and international organizations. Prior
to joining next>edge, Mr. Llamido
was awarded Business Development Manager of the
Year for implementing a profitable, high-growth
strategy for a fledging business unit in the world’s
leading international travel company. To date, this
new business unit continues to be one of the company’s
leading distribution channels and the most profitable. |

Duane
Lappinga. P.E., C.E.M.
Vice President
of Engineering and Design
Mr.
Lappinga is responsible for the engineering,
development, feasibility assessment and
technical sales aspects of all next>edge
energy projects. In this capacity, he has
implemented turnkey energy solutions for
office, hospital, government, prison and
manufacturing facilities, utilizing technologies
ranging from cogeneration to building automation
systems to thermal energy storage. Mr. Lappinga
has also been instrumental in developing
next>edge’s custom building automation
software application, an optimization and
enhancement product for building automation
systems.Prior to next>edge, Mr. Lappinga’s
experience included oversight of the design
and implementation of more than $30 million
of energy efficiency projects resulting
in annual energy savings in excess of $5
million annually. He also project managed
the implementation of 8 cogeneration projects
totaling 3.6 megawatts of generating capacity.
With next>edge, Mr. Lappinga has developed
and engineered $25 million of cogeneration,
HVAC, lighting and backup power projects.
The total value of all of his energy project
work is in excess of $70 million.
Mr. Lappinga has developed an excellent
team of operating engineers, preferred vendors,
project managers and consultants. This dynamic,
synergistic team has been in place for more
than six years, and continues to develop
cutting edge processes, technologies and
methods for highly successful energy efficiency
and power generation initiatives. Among
these success stories are the Energy User
News Energy Retrofit Project of the Year
Award for the HVAC system at 8383 Wilshire
Boulevard, and the CHP ENERGY STAR Certificate
for the Cogeneration System at 8383 Wilshire
Boulevard. Mr. Lappinga also received the
Southern California Association of Energy
Engineers’ Energy Engineer of the
Year Award for 2003.
Mr. Lappinga has more than 12 years of
experience in energy management, engineering
consulting and project management in the
commercial real estate industry. He holds
a Bachelor of Science degree in Mechanical
Engineering from Cal Poly, San Luis Obispo,
and is a Licensed Professional Engineer
and a Certified Energy Manager. Prior to
joining next>edge, he was with Syska
and Hennessy Engineers. |

Perez |
| Vice
President of Operations |
Mr. Perez has over 35 years of management
experience in the energy services industry,
including the start-up of two mechanical retrofit
and service divisions, as well as the profitable
expansion of two existing service divisions,
including divisions of Carrier Corporation
and Southland Industries. Prior to joining
next>edge, Mr. Perez was President of Control
Air Conditioning Service Corporation of Anaheim.
He has had direct hands-on oversight of over
$50 million in successful
retrofit and power generation projects. During
his career Mr. Perez has successfully completed
over $65 million in retrofit projects, managed
and trained 205 field technicians and over
150 office staff. He has extensive experience
in HVAC&R systems modeling, simulation,
supervisory control and building energy analysis. |

Dennis
DeWinter |
| Assistant
Vice President of Operations |
| Mr.
DeWinter oversees all construction and retrofit
work performed for next>edge clients and
is responsible for the timely completion of
projects, on budget, and with a high level
of customer satisfaction.
An accomplished professional with a broad-based
background in construction management, Mr.
DeWinter has extensive experience from conceptual
through actual construction on both new
and existing projects. Notable projects
include renovation on the Beverly Hills
Hotel; earthquake retrofit for the Sherman
Oaks Mall; and construction of multiple
sound studios. |

| Prior to joining next>edge, Mr.
DeWinter worked in the telecommunications industry,
in which capacity he oversaw all site inspections
and meetings and led all pre-construction and close
out procedures for more than 750 contracts for wireless
installations. He has served as Owner's Agent on
numerous telecommunications and commercial office
construction projects including selection and supervision
of contractors, reviewing and revising mechanical,
electrical and structural drawings, supervision
and coordination with A/E, scheduling and coordination
with building operations, and training, deveIoping
and supervising staff site managers. |

First Vice President of Asset Management,
Mr. Accomando has an integral role in overseeing
the Engineering and Operations of Arden Realty’s
Asset Management Division. Since joining Arden,
he has been involved with a wide range of
energy efficiency projects across Arden’s
portfolio, realizing significant energy savings
for Arden’s 19 million square feet of
commercial office space. Mr. Accomando’s
experience spans more than 35 years in commercial
real estate in executive property management
positions. During his career he has commissioned
over 20 million square feet of commercial
office building space throughout the United
States. He holds a B.S degree in Mechanical
Engineering and is a Registered Professional
Engineer. |

| Gregory
S. Husebye |

| Mr.
Husebye has corporate responsibility for property
engineering for Arden’s entire 19 million
square foot commercial real estate portfolio.
Coordinating the activities of 119 operating
engineers, he directs physical
plant operations and maintenance, energy and
environmental management, safety, code compliance,
and technological initiatives. Mr. Husebye
previously held national senior engineering
positions with Tishman West Management and
MetLife. He has served on the BOMA/GLA Codes
and Regulations Committee and was the Vice
President of the Los Angeles Chapter of the
Association of Professional Energy Managers,
receiving an Energy Manager Excellence Award.
Mr. Husebye has also been associated with
the National Association of Power Engineering,
American Institute of Plant Engineers, Association
for Facilities Engineering, Cooling Towers
Institute, and the LADWP Water Conservation
Advisory Committee. He also spearheaded the
inaugural Los Angeles Water Conservation Fair
and Energy/Expo projects. |
